  • Barrus acquires Baltiklaas glass business from Saint-Gobain

    TARK transaction team is advising Barrus, Estonian largest manufacturer of laminated wood components, on the acquisition of Baltiklaas, the largest manufacturer of glass packages, laminated glass and tempered glass in Estonia.

    Barrus, Europe’s leading manufacturer of laminated wood components for windows and doors, is looking to expand and invest in its business in Estonia. For Saint-Gobain Eesti, the sale of Baltiklaas is linked to the group’s decision to exit the business of manufacturing and selling construction glass in various countries, including Estonia.

    The transaction is subject to the approval of the Estonian Competition Authority, which is expected to be received in February.

    TARK’s team advising the transaction includes Marit Savi, Tanel Tark, Tanel Küün, Katri Tšesnokov and Tarvi Salu.

  • Co-operation with European Bank for Reconstruction and Development

    European Bank for Reconstruction and Development (EBRD) has completed a new comprehensive and innovative EBRD Business Reorganisation Assessment on insolvency systems.

    The focus was on efficiency, effectiveness and flexibility of business reorganisation within insolvency across 38 emerging economies where the EBRD and others invest.

    How supportive are these economies’ insolvency frameworks? How far do they help businesses to survive challenging economic conditions and overcome temporary financial difficulties? To what extent do they provide confidence to international investors?

    Law Office TARK partner Allar Aru advised the European Bank for Reconstruction and Development (EBRD) and assisted in preparing an overview of the restructuring and bankruptcy proceedings in regard to Estonia.

  • Alternative for plastic bubble wrap – wool. TARK advised Woola in new Seed Round

    Did you know, that around 200 000 tonnes of sheep wool gets burned or buried in Europe yearly? Now Woola takes material that otherwise gets thrown away – waste wool – and turns it into a more planet-friendly alternative for packing fragile stuff safely and uses waste wool to replace plastic bubble wrap.

    TARK team advised Woola in raising €2.5M Seed Round led by Future Ventures to replace bubble wrap with wool. We are glad to help and advise innovative and environmentally friendly business. Partners Hannes Küün, Tanel Tark, Tanel Küün and our lawyer Tarvi Salu advised Woola in the project.

  • TARK advised Outfunnel

    Outfunnel, a marketing start-up company created by former Pipedrive employees, raised an investment of €1 million, with the assistance of our law firm’s team led by partner Hannes Küün. Founded in 2018, Outfunnel is a software company that provides integration software that synchronizes data from sales and marketing tools to make both departments more efficient.

    Outfunnel keeps more than 1000 customer’s data in sync across sales and marketing tools, and records all marketing engagement in your CRM. This helps marketers save time and lets sales focus on the right leads.

    The company plans to use the capital for marketing and hiring new employees.

  • TARK team advised on the purchase of Krulli Quarter

    TARK team, led by managing partner Tanel Tark, advised investment company OÜ Notorious on the acquisition of shares in Krull Kvartal AS.

    Krulli Kvartali is located in North Tallinn, on the border of Kalamaja, where the production buildings of the former Franz Krull machine factory and later Tallinn machine factory are located. The planned development is divided into half: 50% residential and 50% commercial premises. In the middle of the quarter, a public area with high greenery for pedestrians will be created, a kindergarten will be built and parking spaces will be moved mainly under the buildings.

    As a result of the share transaction, a mortgage has been established on all real estate owned by Krulli Kvartal AS and a share pledge on the shares of Krulli Kvartal AS in favor of OÜ Notorious until the establishment of the detailed plan for the Krulli quarter.

    OÜ Notorious is a next-generation Estonian asset management and investment company that invests in various asset classes globally (including technology and start-ups, VC funds, real estate, real assets, etc.).

  • TARK advised Icebreaker.VC on an investment round in space technology startup Spaceit

    TARK team, led by partner Hannes Küün, advised Icebreaker.VC on raising capital for the Estonian spacetech startup Spaceit (https://spaceit.eu). Spaceit provides a Mission Control as a Service platform for satellite operations, as well as a host of simulators aimed at beefing up space sector cybersecurity defenses.

    In addition to Icebreaker.vc, Spaceit’s pre-seed round also saw participation from UG Investments.

  • The World Bank Group highly appreciates our partner Tauno Tark

    Our partner Tauno Tark has received a Certificate of Appreciation from the World Bank Group on contributing to Employing Workers Research report 2021.

    The Employing Workers (EW) project is a World Bank Group project collecting data on the labor laws and regulations to measure the flexibility of regulation of employment, specifically as it relates to the areas of hiring, working hours, and redundancy rules and cost.

    The Employing Workers dataset serves as a resource for academics, journalists, private sector researchers and others interested in the employment regulations worldwide.

    The project gathers and analyzes comprehensive quantitative data to compare labor regulations across economies and over time. The data covers 191 economies and is being published annually.

    In order to make data comparable across economies, the Employing Workers project uses a standardized cases study with several assumptions about the worker and the business.

    he regulation of employment is necessary for the proper functioning of labor markets. It is needed to protect workers from arbitrary or unfair treatment and to ensure efficient contracting between employers and workers. Labor regulation can help correct market imperfections, support social cohesion and encourage economic efficiency.

    Evidence from global studies shows that when labor regulation is too cumbersome for the private sector, economies experience higher unemployment – most pronounced among youth and female workers and larger informal sector.

    The Employing Workers project measures the flexibility of regulation of employment, specifically as it relates to the areas of hiring, working hours, and redundancy rules and cost. The most recent round of data collection was completed in May 2019. The purpose of the Employing Workers dataset is to serve as source of information for policy makers, academics, researchers and the private sector interested in employment regulations worldwide.
