  • TARK advised Estonian companies and universities on co-operation in the development of SARS-Cov-2 BioBlock nasal and throat spray based on antibodies against SARS-CoV-2 coronavirus

    The team of law firm TARK, led by partner Hannes Küün, advised the consortium consisting of Icosagen Grupp, AS Chemi-Pharm, University of Tartu (Institute of Pharmacy, Institute of Biomedicine and Translational Medicine, and Institute of Technology), Estonian University of Life Sciences (Institute of Veterinary Medicine and OÜ Eerika farm) and OÜ Teadus ja Tegu that have collaborated to develop and patent a technology for the creation of a colostrum preparation with anti-infective effect against coronavirus (the product). The consortium plans to conduct clinical trials in Estonia and launch a nasal and throat spray “SARS-CoV-2 BioBlock” containing the product.

    In co-operation with Estonian companies and universities, a technology was developed that can be used to prepare a nasal and throat spray based on antibodies against SARS-CoV-2, which has shown its effectiveness in preventing coronavirus infection during initial research.

    We look forward to clinical trials and the start of production of “SARS-CoV-2 BioBlock” nasal and throat spray containing the product.

  • A significant deal on Estonian real estate market – developing Estonian Silicon Valley

    TARK advised Kala House OÜ on the acquisition of a real estate in the Luther Quarter located in the center of Tallinn. Tanel Tark, the managing partner of the law firm TARK, represented Kala House OÜ, which focuses on real estate investments, and aims to contribute to sustainable and unique real estate developments that affect the general urban space and have a broader positive impact on the development of Estonian urban areas.

    Triple Net Capital OÜ in cooperation with the investment partner Kala House OÜ acquired the real estate of Luther Quarter located in the center of Tallinn at the beginning of February. Triple Net Capital, the developer of the quarter, plans to create a new and dignified living and working environment in the center of the capital by combining new and old architecture and building a large park on the property, which is especially suitable for start-up companies.     According to the new owner’s plan, 400 apartments and approximately 40,000 square meters of commercial real estate will be built on the Luther Quarter property. The property, known as the location of the former Luther plywood factory, is located in Tallinn by Pärnu maantee, Tatari and Vana-Lõuna streets and covers almost four hectares in total.

  • Aare Tark: every government now faces a challenge of three crisis

    When government changes, the focus is often on internal matters and the several biggest challenges we face are no longer of national importance, writes Aare Tark, a sworn attorney, in response to a survey of opinion leaders by the Äripäev newspaper.

    Humanity is, all at once, going through three major crises – an environmental crisis, the pandemic, and a recession. Estonian domestic policy, US elections, and the COVID-19 pandemic have distracted media attention from environmental issues, but this does not mean that we have been able to make any kind of substantial change or find solutions for related problems. According to the World Bank’s gloomy statistics, Estonia takes second place in Europe, producing 14 tons of CO2 per person, per year.

    We cannot just shrug it off and remain bystanders. The new government must demonstrate to our people, that we can ensure the country’s energy security, and at the same time reduce the impact of global warming and climate change. Here, of course, synchronization with the Continental-Europe frequency range and other ongoing projects are of vital importance, but there is also the option of a wider consideration by the new generation of nuclear energy.

    Economic growth may not become a reality

    The new government takes office at an extremely complicated moment, where the lives of many people are in real danger. The pandemic shows no signs of fading away. Thanks to the significant efforts of the health system and all medical personnel, we have avoided the worst-case scenarios, but now it is important to ensure that vaccine doses are available and administered. The speed and scope of vaccination varies from country to country, and Estonia is, unfortunately, not at the forefront in this. To date, 26% of the population has been vaccinated in Israel, and 6% in England. In Estonia, the number is less than 2%. In this regard, serious efforts are expected from the incoming government.

    According to the economic forecast of the Bank of Estonia, in 2021 a growth of 2.9% will replace the recession of the previous year, providing that the vaccination proves successful. However, this does not mean that we can feel unconcerned about the economy. The new government faces both short-term and long-term issues.

    In the short-term perspective, it is important to lend a helping hand to businesses whose activities the coronavirus pandemic significantly restricted, and who, therefore, suffered the greatest losses. The unemployment rate has increased by 97% compared to the same period last year, and people who lost their jobs in the spring are now about to lose their social benefits, which puts a lot of families in a very complicated situation.

    In the mid-term perspective, it is of the utmost importance to rebalance public finances. Dealing with the coronavirus crisis has increased the debt burden of many countries, Estonian bond issues and loans from the Council of Europe Development Bank, the Nordic Investment Bank and others not being an exception. As political forces are now back in government, who previously kept the Estonian economy in good shape for a long period, entrepreneurs have great expectations of this government to make responsible decisions for the country’s financial management and not live in the debt of billions at the expense of our children’s generation.

    In the long-term perspective, it is imperative to address the structural labor shortage that is straining the economy. The pandemic has, all at once, made us extremely aware of how dependent we are on foreign labor. We still remember the shortage of workforce in our agricultural sector last summer.

    In June, Roomet Sõrmus, the chairman of the Board of the Chamber of Agriculture and Commerce, admitted that we would have an immediate need for 500 berry pickers. Besides agriculture, the labor shortage has also hit the construction business, logistics (truck drivers), ICT, and many other areas.

    The burning issue of labor force

    Although the working age population in Estonia is declining, we are, according to the prognosis of the Ministry of Finance and the Bank of Estonia, able to maintain the number of local employed people at 659,000 until at least 2026. However, this is not sufficient, given that the state faces the need to carry out major investments at the same time – Rail Baltica, the reconstruction of main roads into 4-lane roads, the reconstruction of existing railroads, the initiation of large-scale production with high added-value, and the further development of the high tech and construction sectors.

    We clearly need to create regulations for bringing in (both during the pandemic and after) a temporary labor force that would enable us to cope both with large-scale infrastructure construction and seasonal works. Given that we also have considerable structural unemployment at the same time, there is a need to ensure quick large-scale retraining. In the long-term perspective, the much more complex yet no less important issues are an increase of productivity and supporting longer working lives.

    Loans taken can be repaid at the expense of the GDP or the increase of tax revenues. For that to happen, businesses must be able to operate and the economy to develop, although the shortage of a labor force hangs as a milestone around the economy’s neck. The question is – How and what kind of workforce will there be to employ to maintain our competitive-edge and economic development – and we expect the new government to answer this in the long run.

  • Cooperation with World Justice Project on Rule of Law Index 2021

    For several years now, law office TARK has participated as one of the representatives of Estonia in compiling the “World Justice Project Rule of Law Index”. The World Justice Project (WJP) is an independent organization that annually compiles an important publication – the Rule of Law Index. Based on the index, countries are ranked according to how the rule of law is experienced and perceived based on the experience of representatives from 140 countries.

    An important contribution to the development, strengthening and promotion of the Estonian rule of law.

    Although the rule of law seems to be the domain of lawyers, everyone is affected by everyday issues of safety, rights and justice, and government decisions. Therefore, all persons have an important role to play in the functioning of the rule of law.

    Law office TARK was chosen by the WJP as one of the representatives of Estonia in compiling the “Rule of Law Index 2021” because we have a vast experience in many fields of law. During this cooperation, we advised the WJP on questions regarding constitutional law, civil liberties and criminal law. As far as the WJP is aware, many national governments are using this unique report to develop changes to their regulatory environment.

    The joint efforts of Estonian representatives and society in creating a strong rule of law are bearing fruit, and last year Estonia qualified for a very strong 10th place out of 128 countries.

  • The largest online gambling deal of Scandinavia and the Baltics

    Enlabs AB, which operates under the trademark Optibet in Estonia, has made a public offer to acquire all the shares of Global Gaming 555 AB, which is listed on the Nasdaq First North Stock Exchange in Stockholm and operates in Estonia under the trademark NinjaCasino.

    Enlabs AB (https://enlabs.com/en/) is registered in Sweden. Its shares are listed on Nasdaq First North Stock Exchange in Stockholm. The companies belonging to Enlabs group hold licenses for the organization of gambling in Estonia, Latvia, Lithuania, Belarus, and Malta. The group’s main trademark is Optibet but they also operate under trademarks Laimz, Bestpoker, and Bestbingo. In Estonia, Enlabs operates through Optiwin OÜ under the trademark Optibet.

    In 2016, Global Gaming (https://globalgaming.com/) was the first in the world to offer online gambling based on Pay´n´Play concept, which does not require registration of a gambling account. The companies belonging to the group hold gambling licenses in Curacao, Malta, and Estonia. The group’s main trademark is NinjaCasino, but online gambling is also provided under trademarks Kotikasino, Nettikasino, VikingSlots, NettiArpa, Kultakaivos, Spellandet, and MrSpil.

    As a result of the deal, Enlabs will acquire a leading position in online gambling in the region. The only regulative precondition for the deal was receiving the approval of the Estonian Competition Authority.   • TARK successfully advised Klaus

    Law office TARK advised Klaus and its founders on a new 5.4 MUSD financing round.

    As a result of the transaction Estonian-founded SaaS startup Klaus secured 5.4 MUSD in funding to boost the development of its platform, which helps large support teams improve conversations with customers by speeding up and simplifying the internal feedback process. The financing round was led by Global Founders Capital. Klaus is also backed by Creandum, Icebreaker VC and the founders of Estonian CRM scale-up Pipedrive, together with other entrepreneurs/angel investors.
