  • TARK represented a client in a copyright dispute

    Not all disputes need to end up in court. TARK obtained a favorable outcome for the client during a pre-litigation dispute in which the client was accused of substantial copyright infringement for which the accusing party sought significant damages.

    TARK assisted the company in disputing the baseless allegations and explained why the claim was completely unfounded. This achieved the best possible result for the client, saving them from a trip through the court doors.

  • TARK achieved the client’s desired outcome in civil litigation

    TARK’s client, a former member of the management board, faced a lawsuit for allegedly inflicting damages to the company during his service as a member of the board.

    The client was accused of acting against the interests of the company and making financially harmful transactions. With TARK’s representation, the member of the management board objected to the action in all three court instances.

    Ultimately, the courts all agreed that the claim against the board member was 90 percent unfounded and the action was therefore largely dismissed. The TARK team included partner Tauno Tark and associate Rahel Behrsin.

  • Cookies require the active consent of internet users

    The Court of Justice of the EU’s ruling, made on the 1st of October 2019, finally clarified whether an internet user must give active, affirmative consent to allow a website to store and access cookies. The answer is a resounding “yes”. The Court of Justice of the EU clarified that consent to store cookies is not valid if it has been given using pre-ticked boxes which the user must deselect to refuse his or her consent. Implied consent, such as the oft used disclaimer “If you continue on this website, you accept the cookies”, also does not constitute a valid consent. For consent to be valid, it must meet all the requirements of the GDPR, meaning it must be freely given, informed, specific and unambiguous. As for the requirement of being informed, the Court of Justice of the EU clarified that the service provider must also inform the user about the duration of the operation of cookies and whether third parties have access to those cookies or not.

    This court ruling has significant implications for all companies that run their business via website. Many current terms and notifications for the use of cookies, as well as consent request forms, will have to be changed to comply with present requirements. This, however, shall be a challenge if website owners wish for consent provision to remain user-friendly.

    Law office TARK counselled Klaus (OÜ Qualitista) and its founders on another successful financing round. Klaus is a rapidly growing customer service conversation review tool and quality control software development start-up company that is based in Estonia but has clients all over the world. Klaus’ clientbase consists of widely renowned brands like Soundcloud, trivago and many others.

    Klaus’ superb development efforts and recognition of well-regarded clients attracted as lead investor the Swedish-founded Creandum, whose previous investments include for example worldknown Spotify and home-grown Bolt.

    TARK team drafted and analysed all the transaction documents, such as investment and shareholders agreements, articles of association, corporate resolutions, and assisted Klaus with negotiations and closing of the transaction.     Law Office TARK advised the sale process of Derivco Estonia from Uniondale Limited to Prima Networks Limited. Derivco Estonia is a company that provides online gaming and gambling (poker, casino, bingo, board games etc) solutions including development, testing, control, creating of ideas, design, security and security services, maintenance etc.

    Prima Networks, incorporated in Malta, is an industry-leading online gaming software and services company that licenses software and provides services to operators across regulated online gaming markets.
